    With governance serving as the foundation from which all development progress and infrastructure is derived, our STAR Culture values transparency in governance as an extension to stimulating open discussion and exchange of ideas for expanding our current best thinking.

    Our Current Best Thinking on Governance

    Our STAR Culture values an organized, systemic approach to developing new ideas and concepts for governing commercial space transportation development and operations. We continuously seek to discover and maintain that fine balance point between too much structure and not enough structure so that just company policies and procedures can be set in motion while also not inhibiting the development and expansion of new ideas and capabilities. We draw inspiration not only from the fact that the Hermes spacecraft has always been a grassroots project, but also from the cooperative principles of our STAR Culture, as well as a healthy dose of first-hand experience in the legislative process of the aerospace industry on Capitol Hill. In our own fashion, STAR Systems governing methods and processes seek to manifest the power of agreement between entrepreneurs to work together in creating and sustaining a solution for overcoming significant barriers-to-entry common to all in space transportation development.

    Governing Process of Inquiry

    STAR Systems charter documents work uniquely together to develop and oversee a commercial business model for the Hermes spacecraft through our step-by-step, scientific method style process of inquiry and can be considered "living" documents as they are iteratively updated as our current best thinking expands. From a governance perspective, our process of inquiry is implemented as follows:

  • Resolution – to identify and establish transformational provisions and actions based on observation and results from the engineering and business perspectives.
  • Articles of Organization - to introduce and establish the top-level organizational and legal structure of the company
  • Operating Agreement - to establish the background administration of the company
  • Code of Conduct - to establish shared principles and core values of the company
  • Business Plan - to plan and establish operational direction for the Hermes spacecraft and the company
  • Standing Rules - to establish rules and procedure for development and operations of the Hermes spacecraft and the company
  • Annual Report – to summarize the current standing of the company and identify areas for transformation, which are iteratively implemented through resolutions

    Compiled together these documents form the "Manual of Space Transport and Recovery Systems, LLC" which is archived in the Company Record pursuant to STARSYS-RES-2011-001, Sections 5.1 and 5.5. Our ultimate hope and vision is that our governing methods and processes will serve as inspiration for future commercial space transportation development.

    Resolution: "Reinvigorating the Hermes Spacecraft Project"
    Document #: STARSYS-RES-2011-001
    Ratified: October 16, 2011

    The Resolution is the founding charter document of STAR Systems, LLC, signed into action by the managers of the Hermes spacecraft project on October 16, 2011. It summarizes the history of the project as well as the resolve and intent of the managers to continue the project in preparation for funding full-scale development of the vehicle. It also provides for establishment of the company under an LLC structure and serves as the foundational authority from which all subsequent company charter documents are derived.




    Articles of Organization
    Approved: October 28, 2011

    The Articles of Organization set into motion provisions found in the Resolution. It introduces foundational concepts which serve to establish the legal and organizational structure of STAR Systems as a Limited Liability Company. Because it serves as a core foundational document affecting those subsequent to it, the Articles of Organization can only be amended by a supermajority vote of the managers. No subsequent charter document can be in conflict with the provisions of these Articles. Note: Personal information omitted for privacy.
